Acceptance of Terms

By accessing or using Valzura ("the Service"), operated at valzura.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We reserve the right to modify these terms at any time, and your continued use after modifications constitutes acceptance of the updated terms.

Description of Service

Valzura provides online business valuation estimation tools, including a calculator that applies industry-specific multiples to user-supplied financial data using SDE, EBITDA, and revenue-based methods. The Service also includes educational content, industry benchmarks, and related informational resources about business valuation.

Valzura does not provide financial, investment, legal, tax, or accounting advice. The valuation estimates generated by our tools are for informational and educational purposes only. They are not intended to be, and should not be construed as, professional valuations, appraisals, or recommendations.

Our estimates are based on publicly available industry benchmarks and the financial data you provide. They do not account for all factors that may affect the value of a specific business, including but not limited to: local market conditions, specific buyer demand, legal or regulatory issues, pending litigation, environmental factors, real estate considerations, or intangible assets.

Do not rely on Valzura results for:

  • Buying or selling a business without independent professional valuation
  • Legal proceedings (divorce, partnership disputes, litigation)
  • Tax filings, estate planning, or IRS compliance
  • Loan applications or financial covenants
  • Any binding financial transaction or commitment

We strongly recommend consulting certified valuation professionals (CVA, ASA, ABV), business attorneys, and tax advisors for decisions involving significant financial consequences.

User Responsibilities

  • You are responsible for the accuracy of financial data you enter into the calculator.
  • You agree not to use the Service for any unlawful purpose or in violation of any applicable regulations.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree not to attempt to reverse engineer, disassemble, or decompile any part of the Service.
  • You agree not to scrape, crawl, or use automated tools to extract data from the Service beyond normal usage.

Limitation of Liability

To the maximum extent permitted by law, Valzura and its operators shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

  • Your use of or inability to use the Service.
  • Any decisions made based on information provided by the Service.
  • Any errors or inaccuracies in valuation estimates or industry data.
  • Unauthorized access to or alteration of your data.
  • Any third-party conduct on the Service.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, data, software, and the underlying algorithms — are owned by Valzura and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Service without prior written consent.

Subscription & Payment Terms

Paid plans are billed on a monthly or annual basis as selected at the time of purchase. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are handled on a case-by-case basis within 14 days of purchase. Single valuation report purchases are non-refundable once the report has been generated. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from or related to these terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules.
